The Nektar ecosystem is new and the technologies comprising the Nektar ecosystem, including the Nektar token (NK5) and United Citizens DAO, are experimental in nature. There is therefore no guarantee that the Nektar ecosystem or United Citizens DAO will operate as planned. While technologies being used have been extensively tested, the systems and softwares used are still relatively new and could have bugs or security vulnerabilities. Further, the systems and softwares are still under development and may undergo significant changes over time that may not meet users’ expectations.

Crypto products are generally highly risky and their regulatory treatment is unsettled in many jurisdictions. There may be no regulatory recourse for any loss from transactions in NK5. There is currently no market for the NK5 and one may never develop. It may be difficult or even impossible for token holders to sell NK5. Resale of NK5 will require the availability of a market. In addition, earning, holding, buying, or selling NK5 may not be permitted where you live and it is your responsibility to comply with all applicable laws. Any value ascribed to NK5 may change quickly and may be lost in its entirety.

  1. On the 23rd day of August 2024, a Special General Assembly of the International Innovation Agency (SGA/R/6.1) approved and endorsed the proposal of Nektar to deploy the Nektar systems  and NK5 tokens to secure anonymous voter participation on important policies of the International Innovation Agency, noting that the election of the Managing Director should secure the highest possible participation of technical candidates. SGR/R6.1 further recommended that the financial and economic model of Nektar be expanded and approved the use of NK5 tokens by the International Innovation Agency, the Business Consortium and SDG Ventures as their native tokens;

  2. On the 10th day of September 2024, a Special General Assembly of the Agency (SGA/R/7) approved the Exchange Articles of Agreements AoA ( “NektarX AoA”) and approved for Nektar to begin the implementation of the Nektar Exchange (“NektarX”) in support of the World Sports Alliance Initative and International Innovation Agency initiatives (“Innovation Alliance Initiatives”);

  3. On the 6th day of January 2025, the Restructuring Board and the Transition Committe of the World Sports Alliance approved the ASP2030 Implementation and Selection Procedures (ASP-ISP) for the selection procedure of the Host Country and International Academy of the World Sports Alliance. In accordance with the ASP-ISP (i) voting for the Host Country shall be reserved to clearly identified individuals holding a wallet on the Nektar systems (ii) any individual older than eighteen (18) years old, without distinction as to race, sex, language, religion, nationality or place of residence holding a wallet and connecting to the Nektar systems may select and vote for a state (iii) the state hosting the International Academy of the World Sports Alliance shall be selected by a simple majority of the votes (of verified individuals members of the United Citizens DAO) and shall be deemed to have been selected by all such votes.

  4. On the 3rd day of September 2025, the Executive Board of the International Innovation Agency (Office of the Managing Director) and Restructuring Board of the World Sports Alliance ratified the International Innovation Agency *Articles of Agreement (“Agency AoA”) and approved for the first General Assembly of the World Sports Alliance and the first meeting of the Board of Governors of the International Innovation Agency to be organized in Dakar, Senegal on the sidelines of the Youth Olympic Games (“YOG”). The Agency AoA further updated the strategic plans of the Agency IFI for the 2030 period with the inclusion of : (i) a Decentralized Autonomous Organization (“Uniteed Citizens DAO”) within the governance structure of the International Innovation Agency to enable citizens to govern Managing Directors and select productive projects ; (ii) a Business Consortium (formally the IBC ) comprise of experts in finance, bitcoin, web3 and technology to implement productive projects in favour of the mission and ; (iii) an allocation of 120,750,000 NK5 tokens as the principal resources of the International Innovation Agency.

The native utility token of the Nektar ecosystem is NK5 or the Nektar token. It is designed and intended to be used solely as the primary utility token of the ecosystem. The United Citizens DAO is designed and intended to issue the future governance token of the Nektar ecosystem. NK5 may only be utilized on the Nektar ecosystem. Ownership of NK5 carry no rights, express or implied, other than the right to use NK5 as a mean to consume and access Nektar systems and services. The purpose of the NK5 is to provide a convenient and secure mode of payment to consume systems and services provided by Nektar. It is not, and not intended to be, a medium of exchange accepted by the public (or a section of the public) as payment for goods or services or for the discharge of a debt; nor is it designed or intended to be used by any person as payment for any goods or services whatsoever that are not exclusively provided by Nektar.

The NK5 is classified as a utility token in accordance with BaFin, the financial regulatory authority for Germany (Bundesanstalt für Finanzdienstleistungsaufsicht). To the best of the knowledge of the management, the information presented in this document complies with Title II of Regulation (EU) 2023/1114), are fair, clear and not misleading and this document and the Light Paper makes no omission likely to affect its import.

  1. The NK5 token does not have any intrinsic value. It may lose its value in part or in full; 
     

  2. The NK5 token is not intended to be a representation of money (including electronic money), security, commodity, bond, debt instrument, unit in a collective investment scheme or any other kind of financial instrument or investment. NK5 tokens are not intended to constitute securities in any relevant jurisdiction. They may also not be exchangeable against the good or service described herein, especially in case of failure or discontinuation of the Nektar systems ; 
     

  3. The NK5 token is non-refundable and cannot be exchanged for cash (or its equivalent value in any other virtual currency) or any payment obligation by Nektar or any of its respective affiliates. It may also may not always be transferrable or liquid. As such, Nektar will not refund the purchase price or earned price of the NK5 token ;
     

  4. NK5 tokens are not intended for speculation and hold no claim to intellectual or other property or cash flows. Their entire value derives from the multi-services provided by Nektar. They grant no claim in decision making over the Nektar assets or strategy. There is no promise of value beyond usage value, nor any claim on assets or revenue associated with Nektar ;
     

  5. The NK5 token is not a loan to Nektar or any of its respective affiliates, it is not intended to represent a debt owed by Nektar or any of its respective affiliates, and there is no expectation of profit. Holding NK5 tokens does not provide the token holder with any ownership or other interest in Nektar or any of its respective affiliates nor does it entitle token holders to any promise of fees, dividends, revenue, profits or investment returns. NK5 tokens are not intended to constitute securities in any relevant jurisdiction;
     

  6. In addition, holding a NK5 token does not entitle token holders to any promise of fees, dividends, revenue, profits or investment returns, and are not intended to constitute securities in any relevant jurisdiction, nor does the NK5 token intend to represent or confer on the token holder any right of any form with respect to Nektar or any of its respective affiliates, or its revenues or assets, including without limitation any right to receive future dividends, revenue, shares, ownership right or stake, share or security, any voting, distribution, redemption, liquidation, proprietary (including all forms of intellectual property or license rights), right to receive accounts, financial statements or other financial data, the right to requisition or participate in shareholder meetings, the right to nominate a director, or other financial or legal rights or equivalent rights, or intellectual property rights or any other form of participation in or relating to the Nektar systems, portal and/or their service providers.
